We recently acted on behalf of a purchaser in a large-scale corporate group restructure and buyout of a £25 million cross-border property portfolio with a related investment business.
This was a particularly complicated transaction which required input from various service areas throughout the firm. Our Banking and Finance group led this transaction with input from the Corporate, Property, Licensing and Employment departments.
Specifically the Banking and Finance team dealt with the funding aspects, including the negotiation of the terms of the loan, overdraft and multi-option loan agreements (in particular the covenants and warranties required by the funder), the property and asset backed securities and personal guarantees. In addition to legal advice, the team advised the client on all commercial issues arising from the negotiations and documentation.
